A croissant doughnut by any other name

A croissant doughnut by any other name

The Cronut
A few days ago even the Financial Times (!) reported that - at last - the nearly mythological Cronut [what is that? Read further down] has made its way to London, with the first Cronut bakery [a Cronutery?] opening in Belgravia.

The Cronut is not only a sought-after pastry for those with a sweet tooth, but also IP aficionados.

US-based Katfriend Matthew Hintz (Lowenstein Sandler), worldwide expert in the US Cronut trade mark saga (also tweeting as @mhintzesq), explains it all.

Heres what Matthew writes:

"Baked goods do not usually merit a national conversation, but, for the past few years in the United States, a croissant-doughnut hybrid known as the Cronut has done that.  The fascination continues with this laminated dough fried, and then sugared, filled, and glazed.  Lines for the Cronut at chef Dominique Ansel’s bakery in New York City still start early, despite snow, rain, heat, or the discovery of a nearby dead body.

Epcot at Walt Disney World
took the descriptive approach
with its Croissant Doughnut
In honor of the recent official debut of the Cronut at Ansel’s London bakery, we provide a summary of the trademark registration path for that certain croissant-doughnut.  You can read this while waiting in line.

USPTO registered, cancelled, and re-registered the CRONUT mark

The United States Patent and Trademark Office (USPTO) first issued a registration for the CRONUT mark in January 2014 to Ansel’s International Pastry Concepts LLC for, among other items, “Bakery goods, namely, croissant and doughnut hybrid.”  In February 2014, however, the USPTO issued a notice that the registration was “inadvertently issued” while the application was subject to an unexpired extension of time to oppose registration of the mark.  As a result, the USPTO cancelled the registration and reinstated the application to pending status and potential opposition.

That opposition was soon filed in April 2014 by Najat Kaanache, a chef, and Crystalline Management, LLC.  Notably for a baked good dispute, Kaanache’s attorneys were Baker & Hostetler LLP while Ansel’s attorneys were The Cook Law Group (emphasis added).

Grounds in Kaanache’s opposition were (1) likelihood of confusion with Kaanache’s pending application to register the CRONUTS (plural, for “creative donuts”) mark for “Baked goods, namely, sweet donuts and savory donuts,” (2) mere descriptiveness of CRONUT, (3) lack of bona fide use in interstate commerce for all of the goods listed in the application, (4) misuse of registration symbol in enforcement efforts, and (5) fraud on the USPTO that the CRONUT mark was not in use with all the goods on the application.

Rogue “Cronut” spotted
by Matthew Hintz himself
in Chicago, Illinois

Ansel moved the USPTO’s Trademark Trial and Appeal Board (Board) to dismiss the opposition based on the opposition not stating a claim upon which relief can be granted. Kaanache’s dish, alleged in the motion to dismiss, was crawfish “mini croquetas,” attempting to free ride on the acclaim of Ansel’s bakery goods.

In its decision on the motion, the Board expressed no opinion on its preferred flavor profile; instead, the Board denied (most of) the opposition.  The opinion emphasized that a motion on this basis was a test solely of the pleading in the opposition.  In other words, Kaanache didn’t need not to she would win—instead, she only needed to plead her claims sufficiently.  According to the Board, she did plead four of the five grounds sufficiently. As for the other, in ground 2 (mere descriptiveness), the opposition only quoted a descriptiveness rejection from examination. Since this was not her own allegation, Ansel’s motion to dismiss ground 2 was granted, with leave for Kaanache to re-plead.

And she did, and after a series of extensions through the rest of 2014 and 2015, at the end of June 2015, Kaanache withdrew the opposition.  As a result, the Board dismissed the opposition with prejudice.  Subsequently, the USPTO again issued a registration for the CRONUT mark to Ansel in August 2015.  Some puff pastries are just full of hot air.

“The Closest Thing
in LA. To the Cronut!”

The one and only

While resolution of the opposition was pending, in 2014, Dunkin’ Donuts released its own croissant-doughnut hybrid called, in decidedly descriptive terms, the Croissant Donut.  Asked for a comment, Ansel’s legal team responded that:

From our understanding, Dunkin Donuts item is called a ‘croissant doughnut’. This is not an infringement on our trademark for Cronut™. There is a difference between any burger and the Big Mac; and any soda from Coke. And we appreciate large corporations that respect trademarks from small businesses, and distinguish their products appropriately to avoid customer confusion.

But using the term “croissant donut” did not spare Rounds Bakery in Reno, Nevada, from receiving a cease and desist letter from Ansel’s legal team.  Rounds insisted it was careful not to use Ansel’s mark in its marketing and made this clear at #NotACronut.

Other croissant-doughnut hybrids under various names also received cease and desist letters from Ansel’s legal team:  the Croi-nut in Baltimore, Maryland; the Crauxnut in South Portland, Maine; the Creaux-nut in Shreveport, Louisiana; the Kronut in Santa Monica, California; and the Croughnut in Seattle, Washington.

Reactions were mixed.  The Crauxnut was subsequently renamed as the CnD, for “cease and desist,” but the bakery only makes them by special order now as “[t]he ‘cronut’ fad saw it’s day, and demand waned.”   The Creaux-nut’s baker was “thrilled” to learn that Ansel knew of her creation and changed the name.  The Croughnut became Double Happiness, after the bakery ran a contest on Facebook for the renaming.  (Candidates included Fauxssant, Croughbar, Pas Nom, and Le Donut.)  Other bakeries just went with whosywhatsit or thingamajig.

What about trademark protection in the United Kingdom?

The bake was very straightforward for registration in the United Kingdom, unlike Ansel’s nearly 1,000 attempts to adjust the recipe for London weather.  The CRONUT mark was registered as a trademark in 2014 from a designation of an International Registration claiming priority back to Ansel’s U.S. application’s filing date in 2013.

The line is very long and I am hungry

If you don’t want to wait in line or have three days to spare, Ansel published the recipe for an At-Home Cronut in his cookbook.  But be careful how you refer to the finished baked good."

General Court confirms that body builder silhouette cannot be registered as a trade mark for nutritional supplements

General Court confirms that body builder silhouette cannot be registered as a trade mark for nutritional supplements

The body-builder silhouette
Can “a silhouette, represented in black, of a person adopting a typical body-building pose displaying the muscles of his body” be registered as a trade mark for – among other things – nutritional supplements, clothing, and footwear?

As Katfriend Nedim Malovic (@malovicSE) explains, this very question has been recently addressed by the General Court.

Here’s what Nedim writes:

“In its judgmenton 29 September 2016 (Universal Protein Supplements Corp v European Union Intellectual Property Office Case, T-335/15, EU:T:2016:579) the General Court upheld the decision of the Fifth Board of Appeal of the European Union Intellectual Property Office (EUIPO) concerning an application to register a figurative sign representing a body-builder as a EU trade mark for the following classes of goods and services, and descriptions:

      Class 5: ‘Nutritional supplements’;
Class 25: ‘Clothing; footwear’;
Class 35: ‘On-line retail store services featuring nutritional supplements; health and diet-related products; clothing and footwear’.

Background

In 2014 the applicant, Universal Protein Supplements Corp, filed an application with the EUIPO to have the EU territory designed in respect of the international registration of a figurative sign representing a body-builder. The application was for goods and services in the classes indicated above.

The EUIPO examiner rejected the application, on grounds that the mark lacked any distinctive character and was descriptive for the purpose of Article 7(1)(c) of Regulation No 207/2009 on the (now) European Union Trade Mark (EUTMR).

In late 2014 Universal Protein appealed the examiner’s decision.

The EUIPO Fifth Board of Appeal dismissed the appeal in March 2015. It held that the message conveyed by the sign related to ‘body-building’ or a ‘body-builder’ and that the relevant public would perceive a direct and specific link between the sign and the goods and services designated by the mark applied for.

The Board of Appeal concluded that such mark fell within the prohibition laid down in Article 7(1)(c) EUTMR. Furthermore, the mark was devoid of any distinctive character within the meaning of Article 7(1) (b) EUTMR, on the ground that it merely consisted of a representation of a body-builder, which would not enable the relevant public to perceive it as an indication of the commercial origin of the goods and services in question.

Universal Protein did not however lose hope, and decided to appeal the decision before the General Court.  It claimed that: (i) the Fifth Board of Appeal had failed to consider the mark as a whole; (ii) that its own image of the body-builder has several meanings and conveys a message that goes beyond that of a ‘body-builder’ or ‘body-building’, and (iii) that securing registration would not impair the public interest aim that descriptive signs are not monopolised by economic operators.

The National Lottery silhouette
Analysis

The General court began by examining whether Universal Protein’s mark should be considered descriptive.

Article 7(1)(c) EUTMR pursues a public interest aim. Referring to Agencja Wydawnicza Technopol, the court recalled that a sign that is descriptive of the characteristics of the relevant goods or services ought to be freely available for use. In addition, a sign of this kind fails to fulfil the essential function of a trade mark, ie to identify the commercial origin of one’s own goods or services.

The General Court then stated that the descriptive nature of a sign is only to be assessed, (1) by reference to the way in which it is perceived by the relevant public, and (2) by reference to the goods or services concerned:

(1) Having regard to the relevant goods and services (nutritional supplements, clothing, footwear and online retail services relating to those goods) and considering that the mark is strictly figurative and lacks any verbal element, the average consumer – obviously reasonably well informed and reasonably observant and circumspect – is the public of the entire European Union. This said, because the sign consists of a typical body-builder, displaying the muscles of his body, represented in black silhouette, the message conveyed by that sign would relate to body-building.

(2) The chosen goods and services in Classes 5 (nutritional supplements), 25 (clothing; footwear), and 35 (online retail store services featuring nutritional supplements; health and diet-related products; clothing and shoes), are all indicative that the mark applied for has a sufficiently direct and specific link with nutritional supplements, clothing, footwear, and online retail store services of those goods and goods related to health and diet. According to the court, even if the categories of goods and services at issue were to also include services with no link to body-building and that, accordingly, the sign at issue were not descriptive of all the goods and services in those categories, the applicant had applied for the registration of the sign at issue for each of these as a whole without making any distinction. Accordingly, the body-builder sign would fall within the prohibition set by Article 7(1)(c) EUTMR.

Contrary to the applicant’s claims, the court found that the alleged aesthetic character of the stylised image does not require any mental effort on behalf of the relevant public. The meaning of the sign at issue (which refers to the concept of ‘body-builder’ or ‘body-building’) is immediately clear.  By referring to earlier case law, the court added that, even assuming that a sign has several meanings, if at least one of the meanings designates a characteristic of the goods concerned, then that sign must be equally refused.

Merpels silhouette
The applicant’s further claim that there would be no general interest in requiring that a representation such as that in the present case be available because there are practically unlimited ways of depicting body-builders was regarded as irrelevant. In that respect, the court noted (as also previously stated by the EUIPO) that, according to settled case-law, the application of Article 7(1)(c) of the EUTMR does not depend on the existence of a real, current or serious need to leave a sign free.

The Board of Appeal was therefore correct in concluding that the sign in question is descriptive for the purpose of Article 7(1)(c) EUTMR.

All this said, the court considered unnecessary to review whether the sign at issue would be distinctive, and concluded that the body-builder silhouette could not be registered as a trade mark because of the prohibition in Article 7(1)(c) EUTMR.

Conclusion

This decision appears correct from a formal standpoint, and probably the General Court was concerned with the implications of creating a monopoly over the use of a silhouette of this kind for such types of goods and services. However, in the past there have been decisions that could have supported a different outcome. For instance, it is unclear why the silhouette of a body-builder should be descriptive of nutritional supplements, while a hand with a smile and crossed fingers should not suggest “best of luck” and describe what the concept of lottery is all about. Yet, the National Lottery ‘hand’ was successfully registered as a EU trade mark.”

Is there a competition law issue lurking on the horizon of cloud computing

Is there a competition law issue lurking on the horizon of cloud computing

Are we on the cusp of a potential competition law problem in the area of cloud computing services? The Economist tantalizingly, in an article entitled “Cloud Chronicles”, which appeared in its August 27th issue, has described the present circumstances of the industry, and why there might be room for future competition law concern. The culprit, if it comes to pass, may well be Amazon Web Services (usually referred to as AWS), which is the cloud-computing part of amazon, com. The story goes like this.

In 2006, Amazon made available a beta version of a service called “Elastic Compute Cloud”, described as
“the central offering” of AWS. The service took off, in part, according to the article, because it coincided with the rise of the smartphone and the supporting app industry. Developers loved the opportunity to forego maintaining a hardware system and paying a fixed fee for use of software, in favor of paying only for the capacity that they used. AWS is said to have engaged in “many rounds of price reductions”, enabling it to capture increased market share. As well, AWS has, and continues to offer, an increasing number of add-on services, the marginal cost for which is minimal since the software has already been developed.

As such, AWS early on enjoyed first mover advantage (being the first cloud computing service “to succeed on a large scale”) and continues to benefit from network effects. As well, the burden of switching costs served to make it more likely that a user will be reluctant to move to another cloud service. Based on these advantages, AWS has raced far ahead of its competition. It is three times larger than its nearest competitor—Microsoft Azure. Other potential competitors are even less visible, including competing offerings from IBM and Google. At least these two hi-tech behemoths are still in the game; Hewlett-Packard has apparently simply withdrawn from the field. Even Salesforce.com, which is a prominent provider of on-line applications, announced that it will begin to make use of AWS services.

What will slow AWS’s continued dominant position in the industry? The article suggests that users are aggressive in trying to avoid being locked-in to AWS as their sole cloud services provider. It further reports that, at least in Europe, two-fifths of the companies in the cloud use more than one cloud service. Also, while the AWS service is highly popular with start-up developers, it has less success in attracting larger, established companies, in part, it would seem, from a hesitation by such companies to be tied up with a potential competitor, given the ever-increasing nature of Amazon’s product and service offerings. These countervailing forces argue that there may be a limit as to how much more AWS can grow.

Still, based on the information in the article, AWS does seem to enjoy a dominant position with smaller developers. If this were to be found to be the relevant population for vetting competition law concerns, then attention to pricing (should prices begin to tick upwards) and the ease or difficulty of switching to another cloud service, bears watch, especially since the computing infrastructure required might serve as a potential barrier to entry for competitors. Or perhaps less conventional metrics will be brought to bear. The article itself does not go into a discussion of how anti-competitive behavior by AWS might look, stating merely that—
“AWS could end up dominating the IT industry just as IBM’s System/360, a family of mainframe computers, did until the 1980s. If that happens, the antitrust authorities may eventually have to step in, as they did with IBM.”
This in itself is an interesting comment. This Kat is hoary enough to remember the antitrust case against IBM, filed in 1969, which dragged on until 1982. There, the issue was IBM’s alleged anti-competitive conduct based on its alleged dominance of the mainframe computer industry. What is notable is that this decade-long lawsuit came to an end because the US Depart of Justice ultimately decided to dismiss the case. Developments in the computer world had moved on since the filing of the law suit in the late 1960’s, and the capacity of IBM to dominate the computer world had passed.

Even more, this Kat remembers the frequently made comment that antitrust suits such as the IBM case, especially in the technology area, are almost always late to the game: either the technology is passing the target industry by, or the law suit is a cue to the target to seek new products and markets. If this be true, then it raises an interesting question: what would the filing of such a law suit say about the cloud-computing industry? Is the pace of innovation so seriously stuck in neutral, and the nature of cloud-computing so very different from the world of IBM’s System/ 360 family of mainframe computers, that there might be greater justification in considering such a law suit, should there be prima facie indicia of anti-competitive behavior? Or will such a suit be a redux of the IBM litigation? Stay tuned (especially if your computing connectivity is from the cloud).

Things To Consider When Buying A Phone

Things To Consider When Buying A Phone

Buying a new phone? If so, you have hundreds of options to choose from. Apple, Samsung, Sony, HTC, and the models are endless.

So, which is right for you? What does each offer over competitors? When you are looking for a new mobile phone, consider these factors, so you find the best fit, and find what is right for you as the end user.

What will you use it for? Do you need a phone for work, for play, or mixed use? Many phones and brands cater to certain users, so know what they are for, who they are for, and make the purchase around that.
Things-to-consider-when-buying-a-phone

Consider the brands. Some are Apple iPhone enthusiasts, others Samsung users. No matter if you are an android or iPhone user, there are different models out there. So, know the OS, how it works, and what it offers, so you make the right choice.

Consider the model. Did the latest iPhone just come out, or has it been a few months? Depending on the timing, a new model might be around the corner. Do your research to know when the latest models are coming out, so you can time the purchase around those dates.

Is it for gaming, do you need great graphics, is it for wireless use, internet use, work or play? Do you need a great camera or speaker set? Make sure the features meet your needs and that there is a data plan which is going to work for you as well when you are buying a new phone.

With so many options out there it can be a bit overwhelming when you are looking for a new mobile phone. When the time comes to make the choice, or you are shopping for a new phone, consider some of these things, so you do make the right decision when you finally settle on a brand and model.

If you would like some information on some of the best places to purchase a new phone then have a look at wantgadgets.co.uk

How to generate a kernel log after random reboot

How to generate a kernel log after random reboot

outlooknotes1 outlooknotes2

This isnt really so much a complaint about Windows Mobile development, but more so about hole in the platforms user experience.

If youre an avid Windows Mobile user, you are familiar with the Notes application: you can create a short text or image note and have it sync to your desktop. Then the desktop will sync it to Exchange. However, theres a couple problems:

  1. Only Pocket PCs come with the notes applications: Smartphones do not.
  2. You must use your desktop ActiveSync connection to sync with Exchange; it does not sync directly.

To resolve this, a few months ago I wrote an application that allows you to view, edit, and create notes on your Windows Mobile device, and sync directly with Exchange.

Download Outlook Notes Mobile.

Usage:

  1. Start Outlook Notes Mobile.
  2. Go to settings.
  3. Enter the same login information you provided ActiveSync. (The server will be in the format of "mydomain.com" or "mail.mydomain.com", ask your SysAdmin).
  4. Synchronize. (There is no automatic synchronization).

Note:

If you have problems getting this application to work, it may be due to your Exchange server setup. The Microsoft "recommended" Exchange deployment does not expose the Exchange Web Service (it redirects all requests to the OWA client).

Windstream plans to expand its fixed wireless access operations in 40 U.S. markets, using 39-GHz millimeter wave spectrum, presumably for backhaul and business customer access.

Ironically, Windstream in 2008 wrote down the value of its 39 GHz spectrum holdings to zero, as part of a sale of mobile and wireless assets to AT&T Mobility.

The collapse of a millimeter-wave access services business is not terribly unusual. Whole companies (Windstar and Teligent, for example) went bankrupt after trying to build an enterprise access business using millimeter wave technology, after the passage of the Telecommunications Act of 1996.

But times change. Platforms become more capable. Costs go down. And with coming 5G mobile networks embracing millimeter wave technology, what was a broken business model two decades ago might well become an essential underpinning of next generation networks, both mobile and fixed.

Google Fiber, Facebook, AT&T and Verizon are a few of the leading firms now developing or planning to use fixed wireless in a significant way for Internet access.

Cambridge Broadband Networks (CBNL) is providing the radios and and Straight Path Communications is supplying the spectrum licenses for the Windstream rollout.

The new technology will allow Windstream customers data speeds of up to 275 Mbps full duplex, and it also supplements Windstreams other fixed wireless access technologies that range in speed from 1 Mbps to 1 Gbps.

Windstream will deploy in seven existing markets where it currently offers fixed wireless access technology - Chicago, New York City, Boston, Cleveland, Philadelphia, Milwaukee and Little Rock  using equipment from CBNL and spectrum from Straight Path.

Windstream will also deploy CNBL equipment in 33 new markets where it will begin offering its fixed wireless technology. Those markets include Atlanta, Baltimore, Charlotte, Cincinnati, Dallas, Detroit, Kansas City, Miami, Minneapolis,Nashville, Oklahoma City, Phoenix, Richmond, San Antonio, Seattle and St. Louis.

Under the agreement, Windstream has the option of eventually expanding fixed wireless to an additional 32 markets where Straight Path owns 39 GHz spectrum.

Galaxy S8 will be a major change without the Home key in front of all the screen

Galaxy S8 will be a major change without the Home key in front of all the screen

[Abstract] Without the Home button, the front of the phone without any borders, all the screen, the introduction of dual cameras, which is about to bring Galaxy S8 changes.

Samsung in the end how to prepare the cards? Industry is very interested in, the only sure thing is: Galaxy S8 will be a huge change in the hardware. Previous models used older components, but the latest news suggests that Samsung may introduce new features on S8, use the new design, these features and design have not been before, Samsung is actively looking for new components.

From the Samsung partners, electronic components industry, the news leaked, the most noteworthy is the Galaxy S8 hardware will be upgraded. In all the changes in the component, the user experience is the most obvious is completely different display.(Method to Transfer Data Contacts from Samsung to Galaxy S8)

There is no Home key

It is reported that Samsung will remove the Home button, the final button function will be implanted in the back of the glass, or the internal display. Home button can not only return to the main screen, you can also identify the fingerprint. To replace the Home function, Samsung has a variety of technologies to choose from, in the end what is unclear. The end of the Home button means that Samsung can use a new screen, the Galaxy S8 all the front into the screen, which is completely eliminate the border.

Galaxy Note 7 on the left and right is no border, in order to achieve this, Samsung enhanced the arc of the OLED screen. There is news that Samsung will Galaxy S8 upper and lower borders are also eliminated.

All the front is the screen

In order to achieve its goal, Samsung is ready to adopt a screen called "Full Screen", which will cover the front of the entire smart phone, this smart phone is not seen before. From this, smart phones will usher in a huge change. Because the S8 in front of all the screen, so it looks very simple and elegant. In addition, the screen displays pictures and video will be more clear, will have a 3D effect.

Apples move has also attracted peoples attention, the news that Apple is developing full-screen smart phone. This year in September, "New York Times" quoted Apple representative as saying next year will be launched to install full-screen iPhone, Home button will be gone forever.

Rumors can come true is not clear, Apple will launch next year, OLED iPhone, when there will be a clear answer. Apples OLED screen is made by Samsung Display, a subsidiary of Samsung, which specializes in manufacturing displays that play a key role in full-screen displays.

Dual camera how to choose?

Galaxy S8 also may be installed rear dual camera. "Samsung is making a decision to see whether it will be a dual camera or a dual camera, and a dual camera," said a representative from the component industry.

One dual camera with two lenses, one module, two separate cameras with separate modules. One single dual camera cost is relatively low, but manufacturing is very difficult to separate the price of expensive dual cameras, but the production yield is very good.

Samsung believes that dual cameras can improve the quality of photographs. To show the depth of the photo, dual camera is a good choice, it can also make the subject more clearly, so that the background blur. Rumors that Samsungs dual-camera support 16 million pixels and 8 million pixels.

Processor upgrade

Galaxy S8 processor will be used to upgrade. The Foundry Business Team, part of Samsungs Device Solutions LSI division, is preparing to begin production of the Dragon 830 processor, which uses 10-nanometer technology, and the Galaxy S8 will install the 830 processor, the fastest Mass production will begin before the end of the year. Half of the Galaxy S8 will be installed 830, half of the installation Exynos processor.

"Qualcomm has not been able to provide chips to S6 because of its poor performance, and Qualcomm has been forced to reorganize Koreas design engineering department," said a representative from the semiconductor industry. "Why did we offer an application processor to Samsung this year? Nano Xiaolong 820 to the Samsung production, in return, Samsung agreed to install in Galaxy series Xiao Long processor.

As the manufacturing process more advanced, Xiaolong 830 processor performance will be increased, the consumption of electricity will be reduced. Which means that the life time of smart phones will be extended.

Launch time

With Galaxy Note 7 recalls growing, some believe the Galaxy S8 will come out ahead of time, as Samsung can move ahead to the next handset, selling early, rather than pinning its hopes on Galaxy Note 7.

The problem is that if Samsung is really accelerating the progress of the quality defects may occur again. In addition, Galaxy S8 hardware has changed dramatically, to be introduced in the short term is very difficult. For this reason, S8 is likely to be released in February next year, March sales, and the same as the previous model.

"As the Galaxy Note 7 ran into trouble, Samsung seemed to be turning more attention to the development of the Galaxy S8," said an industry representative.

Its a gas! The Nobel Memorial Prize in Economics

Its a gas! The Nobel Memorial Prize in Economics

Scientific Cat-nundrums
This week, contracts won a Nobel prize. Or rather, economists Oliver Hart and Bengt Holmström were awarded the Nobel prize in economics for their work on contracts. Their studies have enhanced our understanding of incentives by examining how contracts affect relationships between employers, employees, societies and governments.  The application of incentives to IP is broad - the innovation/social contract approach to IP, patents as performance indicators in employment contracts, and, the bread-and-butter of IP, licensing contracts.

Eyes on the Prize
First of all, a bit of background. If you are an economist who supports the selection, i.e. that the winning economists work supports your own work, then you must praise the Nobel committees choice and the prestige of the prize. If you are not, then you must highlight that the economics prize is not a true Nobel prize, as it is comes from the Swedish National Bank, and therefore is not particularly impressive. Either way, one must be careful not to be too enthusiastic about a fellow economists success, lest it be taken for indication of an emotional imbalance.

Second of all, some tips if you, dear reader, are interested in winning said prize. First of all, start early and live long so that your genius has time to be recognised. Second of all, be male. Only one woman, Elinor Ostrom, has received the prize. Third, make sure you are somehow Western, and ideally American. Fourth, become at expert at posing for photos in front of books. Finally, surprisingly, remember you dont actually have to be an economist to win; John Nash, who had the gall to be a mathematician, won in 1994.  Things really are going to pot.

Contract theories
Hart and Holmström have won the prize because their names both start with H they developed complementary contract theories. Holmström began by studying trade-offs in contracts. The classic illustration is insurance, which combines both information asymmetry, where parties in a contract do not have the same information, and moral hazard, where a party may engage in riskier behaviour because the risk is shared. For example, a health insurer has less information about the insureds lifestyle than the insured.  [Merpels insurer doesnt know how much catnip she consumes.] Once insured, the insured shares potential costs with the insurer, and will engage in riskier behaviour. [Merpel has taken up parkour, because she wont have to pay for the hospital bills.]

Hart built further on this theory by examining the incompleteness of contracts. No contract can possibly foresee every outcome and consequence of incentives. He argued that property rights help mitigate this, as they place the burden of decision making on those with the property - and hence those with a stake in the unforeseen outcomes. Harts recent work on prisons illustrates this; summarised by The Economist: "In publicly owned prisons, managers might underinvest in quality-improving measures, but private owners face too strong an incentive to cut costs, leading to conditions for prisoners that are worse than those in public prisons." These incentives apply to most government services.  A privatised patent-granting body would have different incentives than a public body (think of those renewal fee$!)

Contracts and IP
Readers of Katonomics will be familiar with economists focus on the incentives-to-innovate theory of IP. This is often known as the Social Contract (covered previously here), in which IP is a contract between innovators and society; the monopoly protection of IP provides a long-term incentive to innovate. Society cannot foresee (information asymmetry) the value of each potential innovation, so all innovators are granted the same level of protection. Assigning the property right to the innovator incentivises innovation as the innovator has a stake in the outcome and the IP system as a whole.

Trophies, by R. Oxley, CC
A goal of researcher employment contracts is to align firms innovation needs with employee incentives. Patents are sometimes used as a metric of performance. There is a large body of economic analysis on the use of patents as a measure of innovation; the general conclusion of which is that patents measure patents, not innovation. More specifically, Harhoff and Hoisl (2007) examine German policies via a large survey, and find that, unsurprisingly, more valuable patents are associated with higher levels of employee compensation.  Baker (1992) models scientists salaries as entirely dependent on the number of patents they produce (a problematic assumption.)  In his model, scientists are unduly incentivised to work on "easy" patents and therefore the employer reduces the per-patent payment to avoid overpaying. Japan has recently changed its approach to patents, making it easier for employers to own patents generated by employees.

Finally, licensing contracts enjoy a never-ending analysis of incentives and clauses. The primary job of lawyers negotiating and drafting such contracts is to align the incentives in the contract with the needs of the client.  While researching the biotech sector in 2007, I came across an interesting case. My interviewee had exclusively licensed a product on a royalty basis. The licensee instead marketed a competing product, leaving the licensor without royalties.  The contract had been used to eliminate competition from the market, and failed to align the parties incentives. Another anecdote is the use by wealthy Multi-national Companies (MNC) of reversion clauses when partnering with companies in developing countries. The MNC engages in joint research and market expansion, then deliberately causes the project to fail in order to trigger the reversion clause. Both background and foreground IP, as per the contract, revert to the MNC. Its a cheap way to expand internationally.

I invite readers to tell their stories of the odd quirks of licensing contracts in the comments.  In the meantime, Im off to work with Merpel on contract incentives of catnip producers. Fingers crossed for a Nobel!
